PLEASE READ THESE TERMS OF USE CAREFULLY BEFORE USING VIVIE'S WEBSITE, PLATFORM, OR SERVICES.
VIVIE IS INTENDED TO FACILITATE ACCESS TO SERVICES FOR CERTAIN NON-EMERGENCY HEALTH AND WELLNESS CONDITIONS. VIVIE IS NOT AN EMERGENCY MEDICAL SERVICE. IF YOU BELIEVE YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 OR SEEK IMMEDIATE MEDICAL ATTENTION.
These Terms of Use (“Terms”) govern your access to and use of websites, online platforms, applications, features, content, products, and services operated by or on behalf of VIVIE LLC (“VIVIE,” “we,” “us,” or “our”), collectively referred to as the “Platform.”
These Terms are a legally binding agreement between you and VIVIE LLC.
By accessing or using the Platform, creating an account, purchasing a product or service, submitting information, or otherwise using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you should not use the Platform or Services.
1. About VIVIE
VIVIE provides a technology and administrative platform designed to facilitate access to health and wellness services.
Depending on the service you request, VIVIE may facilitate:
- Creation and maintenance of your user account;
- Collection of information necessary for medical intake;
- Access to licensed healthcare professionals;
- Scheduling and administrative support;
- Payment processing;
- Coordination of prescription fulfillment;
- Coordination with pharmacies and other healthcare partners;
- Customer support;
- Access to educational health and wellness information; and
- Other health, wellness, and technology-related services.
VIVIE LLC is not a medical practice and does not itself practice medicine, diagnose medical conditions, or prescribe medications.
Medical consultations, diagnoses, treatment decisions, prescriptions, and other clinical services available through the Platform are provided by appropriately licensed healthcare professionals affiliated with Wasef Health or another identified professional medical entity (“Healthcare Providers”).
Healthcare Providers exercise independent professional medical judgment.
VIVIE does not control or interfere with a Healthcare Provider's professional clinical judgment.
2. Healthcare Services
To determine whether a particular treatment or service may be appropriate for you, you may be required to provide health and personal information, including information about:
- Your medical history;
- Current and past health conditions;
- Symptoms;
- Medications;
- Allergies;
- Height and weight;
- Laboratory results, where applicable;
- Treatment history;
- Reproductive, hormonal, sexual, or metabolic health information, where applicable;
- Your identity, age, and location; and
- Other information reasonably requested by a Healthcare Provider.
A Healthcare Provider will independently review the information available to them and determine whether treatment, testing, medication, or another course of action is medically appropriate.
Completing an intake questionnaire, paying for a service, creating an account, or requesting a particular medication does not guarantee that a prescription, treatment, or other Healthcare Service will be provided.
A Healthcare Provider may determine that:
- A requested treatment is not appropriate for you;
- Additional information is required;
- Laboratory testing or further evaluation is required;
- An in-person medical visit is appropriate; or
- You should seek treatment from another healthcare professional.
3. No Emergency or Comprehensive Medical Care
The Platform is designed for specific non-emergency health and wellness services.
It is not intended to provide comprehensive primary care, emergency care, or treatment for every medical condition.
Do not use VIVIE for emergency medical needs.
If you experience a medical emergency, severe or rapidly worsening symptoms, or believe you require immediate medical attention, call 911 or go to the nearest emergency department.
Information made available through the general portions of the Platform is provided for informational and educational purposes and should not be interpreted as individualized medical advice.
Always consult an appropriately qualified healthcare professional regarding questions about your health, medical conditions, medications, or treatment.
4. Eligibility
To use Services through the Platform, you must:
- Be at least 18 years old;
- Be legally capable of entering into a binding agreement;
- Be located in the United States when receiving Healthcare Services;
- Be physically located in a state or jurisdiction where the applicable Healthcare Provider is authorized to provide the requested care;
- Provide accurate and complete information; and
- Agree to comply with these Terms.
Services may not be available in every U.S. state or territory.
Healthcare availability may vary depending on provider licensure, medication availability, pharmacy coverage, applicable law, and other clinical or operational requirements.
Meeting the general eligibility requirements does not guarantee that you are medically eligible for a particular treatment.
5. Telehealth Services and Consent
Certain Healthcare Services available through VIVIE are provided using telehealth.
Telehealth involves the delivery of healthcare using electronic communications and technology when the patient and Healthcare Provider are located in different locations.
Telehealth may involve:
- Online questionnaires;
- Secure messaging;
- Audio communications;
- Video consultations;
- Electronic medical records;
- Digital transmission of health information; and
- Other forms of remote communication.
Telehealth has benefits and limitations and may not be appropriate for every condition.
Before receiving Healthcare Services through telehealth, you may be required to review and agree to a separate Telehealth Informed Consent.
Your acceptance of these Terms does not replace any separate medical or telehealth consent required by a Healthcare Provider or applicable law.
6. Your Account
Certain features require you to create an account.
You agree to provide accurate, current, and complete information and to keep your information updated.
Your account is personal to you.
You may not:
- Create an account for another person unless expressly authorized;
- Share your password or account credentials;
- Permit another person to impersonate you;
- Access another person's account; or
- Provide false identity or medical information.
You are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account.
If you believe your account or credentials have been compromised, contact us promptly at:
VIVIE may suspend access where we reasonably believe an account has been compromised or is being used fraudulently or in violation of these Terms.
7. Accuracy of Information
The safety and appropriateness of Healthcare Services depend on the accuracy and completeness of the information you provide.
You agree that information you provide to VIVIE or a Healthcare Provider will be truthful, complete, and accurate to the best of your knowledge.
You agree to update relevant information when it changes.
You understand that withholding or providing inaccurate information concerning your medical history, medications, symptoms, allergies, health conditions, identity, or location may affect the ability of a Healthcare Provider to safely evaluate or treat you.
If requested information is necessary to provide Healthcare Services and you decline to provide it, certain Services may not be available to you.
8. Pharmacies and Prescription Fulfillment
VIVIE is not a pharmacy.
If a Healthcare Provider determines that medication is appropriate and issues a prescription, VIVIE may help coordinate prescription fulfillment through one or more independent licensed pharmacies.
The dispensing pharmacy is responsible for pharmacy services, including dispensing medication in accordance with applicable pharmacy laws and professional requirements.
Medication may be shipped directly by the dispensing pharmacy and may arrive in the pharmacy's own packaging.
Medication packaging, formulation, availability, shipping times, dispensing practices, and related pharmacy services may vary by pharmacy.
A prescription is never guaranteed.
The Healthcare Provider retains sole authority to determine whether a prescription is medically appropriate.
9. Laboratories and Other Healthcare Partners
Certain Healthcare Services may involve independent laboratories, diagnostic providers, pharmacies, or other healthcare organizations.
These third parties are responsible for the services they independently provide and may maintain separate terms, policies, consent forms, and privacy notices.
10. Payments
You agree to pay all applicable charges disclosed to you when purchasing or requesting Services.
By submitting payment information, you authorize VIVIE and its third-party payment processors to charge the applicable payment method for authorized charges associated with your purchase.
Charges may include, as applicable:
- Platform or administrative services;
- Healthcare Provider consultation fees;
- Medication;
- Pharmacy dispensing;
- Shipping;
- Laboratory services;
- Subscriptions or recurring treatment plans; and
- Other Services clearly disclosed before purchase.
VIVIE may use third-party payment processors to process payments.
You agree to provide valid and current payment information.
If a payment cannot be processed, we may request an alternative payment method and may suspend fulfillment or Services until payment is completed.
11. Recurring Plans and Subscriptions
Certain products or treatment programs may be offered on a recurring monthly, quarterly, or other subscription basis.
Before beginning a recurring plan, the applicable price and billing frequency will be disclosed to you.
By enrolling in a recurring plan, you authorize the applicable recurring charges to your payment method until the plan is canceled or otherwise terminated.
Prices may change in the future. Where required, we will provide notice before a changed price applies to a future recurring charge.
You may cancel a recurring plan using the cancellation method made available through your account or by contacting:
Cancellation applies to future renewals and does not automatically reverse charges that have already been processed, except where required by law or expressly provided by our applicable refund or cancellation policy.
VIVIE will provide cancellation rights and procedures in accordance with applicable law.
12. Refunds, Prescription Products, and Cancellations
Because healthcare and prescription services may involve professional services and customized or patient-specific prescription products, certain charges may become non-refundable once the applicable service has been provided or prescription fulfillment has begun.
Prescription medications generally cannot be returned for resale or reuse after they have been dispensed.
Any applicable refund, replacement, cancellation, or reshipment eligibility will be determined under VIVIE's then-current policies, the dispensing pharmacy's policies, and applicable law.
If you believe you were incorrectly charged, received the wrong item, or experienced a fulfillment issue, contact:
Nothing in these Terms limits any refund, cancellation, or other consumer right that cannot lawfully be waived.
13. Insurance
Unless expressly stated otherwise, Services offered through VIVIE are generally provided on a self-pay basis.
VIVIE does not guarantee that:
- Healthcare Services;
- Prescription medications;
- Laboratory testing; or
- Other products or services
will be reimbursed or covered by a commercial health plan, Medicare, Medicaid, or another government or private insurance program.
You are responsible for charges not covered by insurance.
14. Electronic Communications
By using the Platform, you consent to conducting transactions electronically.
You agree that electronic agreements, acknowledgments, disclosures, notices, and other communications may satisfy legal requirements that such communications be provided in writing, to the extent permitted by law.
You may receive operational communications concerning:
- Your account;
- Medical intake;
- Consultations;
- Prescriptions;
- Orders;
- Shipping;
- Payments;
- Security;
- Customer support; and
- Other Services.
These communications may be sent by email, through the Platform, or by text message where you have provided a telephone number and applicable consent.
Marketing communications are subject to any additional consent requirements imposed by applicable law.
15. Privacy
Your use of the Platform is also subject to the VIVIE Privacy Policy.
The Privacy Policy explains how VIVIE collects, uses, discloses, and protects personal information.
Health information maintained by a Healthcare Provider may also be governed by that provider's Notice of Privacy Practices and applicable healthcare privacy laws.
16. Permitted Use
Subject to these Terms, VIVIE grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Platform for your personal and lawful purposes.
This license does not transfer ownership of the Platform, its content, technology, trademarks, or other intellectual property.
17. Prohibited Uses
You may not use the Platform to:
- Violate applicable federal, state, local, or international law;
- Impersonate another individual;
- Obtain healthcare or prescriptions for another person through your account;
- Submit false, fraudulent, misleading, or intentionally incomplete information;
- Attempt to obtain medication through fraud, deception, or misrepresentation;
- Gain unauthorized access to an account, computer system, network, or database;
- Circumvent security or authentication measures;
- Introduce viruses, malicious code, or harmful technology;
- Interfere with or disrupt operation of the Platform;
- Scrape, harvest, copy, or systematically extract Platform content or data without authorization;
- Reverse engineer or attempt to discover Platform source code except where such restriction is prohibited by law;
- Reproduce or commercially exploit Platform content without authorization;
- Use the Platform to develop a directly competing product through unauthorized extraction or copying of proprietary materials;
- Infringe intellectual-property, privacy, publicity, or other rights;
- Engage in fraudulent payment activity; or
- Encourage another person to engage in prohibited conduct.
We may investigate suspected misuse and may suspend or terminate access where appropriate.
18. Intellectual Property
The Platform and its content, including its:
- Design;
- Text;
- Graphics;
- Product descriptions;
- Photography;
- Video;
- Software;
- Interfaces;
- Branding;
- Logos;
- Layout;
- Features; and
- Other materials
are owned by VIVIE LLC or used under applicable licenses, except where otherwise stated.
The VIVIE name, logos, brand elements, and related marks may not be copied or used without authorization.
Except for the limited personal-use rights expressly provided in these Terms, no intellectual-property rights are transferred to you.
19. Feedback
If you voluntarily provide ideas, feedback, suggestions, or recommendations concerning the Platform or Services, you permit VIVIE to use that feedback for business and product-improvement purposes without an obligation to compensate you, subject to applicable law.
This provision does not give VIVIE ownership of your personal health information.
20. Educational Content
VIVIE may publish educational information concerning health, wellness, medications, ingredients, longevity, hormonal health, metabolic health, skin health, sexual wellness, and related topics.
General educational content is not individualized medical advice and does not establish a clinician-patient relationship.
Do not start, stop, or modify a prescription medication or medical treatment solely on the basis of general website content.
Clinical decisions should be made with an appropriately licensed Healthcare Provider.
21. Third-Party Links and Services
The Platform may link to or integrate with third-party websites or services.
These may include:
- Healthcare providers;
- Pharmacies;
- Laboratories;
- Payment processors;
- Shipping companies;
- Technology providers;
- Social-media platforms; and
- Other third-party services.
VIVIE does not control independent third-party websites and is not responsible for their content, availability, privacy practices, security, or terms.
Your use of third-party services may be subject to separate agreements with those third parties.
22. Platform Availability and Changes
We may update, modify, suspend, restrict, or discontinue any portion of the Platform from time to time.
We do not guarantee that the Platform will always be:
- Available;
- Uninterrupted;
- Error-free;
- Compatible with every device;
- Free from technical defects; or
- Available in every geographic location.
We may add, change, or remove features and services as our business, technology, healthcare partnerships, or regulatory obligations change.
23. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE VIVIE PLATFORM AND NON-CLINICAL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
VIVIE DISCLAIMS WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.
VIVIE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, COMPLETELY SECURE, ERROR-FREE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
Nothing in this section alters or limits any professional duty independently owed to you by a Healthcare Provider under applicable law.
24. Independent Healthcare Providers
Healthcare Providers providing medical services through or in connection with the Platform exercise independent clinical judgment.
VIVIE does not direct a Healthcare Provider regarding whether to:
- Diagnose a condition;
- Prescribe a medication;
- Order laboratory testing;
- Recommend a particular treatment; or
- Decline treatment.
Nothing in these Terms is intended to limit a Healthcare Provider's independent professional responsibilities under applicable law.
25. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIVIE LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM OR NON-CLINICAL SERVICES.
THIS MAY INCLUDE LOSS OF DATA, LOSS OF BUSINESS, LOSS OF PROFITS, SERVICE INTERRUPTION, OR DAMAGE RESULTING FROM UNAUTHORIZED ACCESS, TECHNICAL FAILURE, OR RELIANCE ON GENERAL INFORMATION PROVIDED THROUGH THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIVIE'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
**(A) THE AMOUNT YOU PAID DIRECTLY TO VIVIE DURING THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
(B) $100.**
Some jurisdictions do not permit certain limitations or exclusions of liability. In those jurisdictions, these limitations apply only to the extent permitted by law.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
26. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless VIVIE LLC and its members, managers, officers, employees, contractors, agents, licensors, and service providers from third-party claims, liabilities, damages, losses, and reasonable costs arising from:
- Your material violation of these Terms;
- Your unlawful or unauthorized use of the Platform;
- Fraud or intentional misconduct by you; or
- Your infringement of another person's rights.
27. Suspension and Termination
You may stop using the Platform at any time.
VIVIE may suspend, restrict, or terminate access to the Platform where reasonably necessary because of:
- A violation of these Terms;
- Suspected fraud;
- Unauthorized account access;
- Threats to Platform security;
- Abusive or unlawful conduct;
- Payment issues;
- Legal or regulatory requirements; or
- Discontinuation of a Service.
Termination of Platform access does not eliminate obligations that accrued before termination.
Healthcare Providers remain responsible for obligations imposed on them by applicable healthcare law and professional standards.
Sections that by their nature should survive termination—including provisions concerning intellectual property, disclaimers, limitations of liability, indemnification, dispute resolution, and accrued payment obligations—will survive.
28. Changes to These Terms
We may update these Terms periodically to reflect changes to:
- Our Services;
- Business operations;
- Healthcare arrangements;
- Technology;
- Legal requirements; or
- Platform features.
When we update these Terms, we will update the “Last Updated” date at the beginning of the document.
Where applicable law requires advance notice or affirmative consent to a material change, we will provide such notice or obtain consent.
Your continued use of the Platform after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
29. Dispute Resolution and Informal Resolution
Before initiating arbitration or litigation, you and VIVIE agree to make a reasonable, good-faith effort to resolve the dispute informally.
A written Notice of Dispute should include:
- Your name;
- Your contact information;
- A description of the dispute;
- Relevant account or transaction information; and
- The relief or resolution requested.

If the dispute is not resolved within 30 days after receipt of a complete Notice of Dispute, either party may proceed as permitted below.
30. Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
Except for disputes eligible to be brought in small claims court and claims for which arbitration cannot lawfully be required, you and VIVIE agree that claims arising out of or relating to these Terms, the Platform, or VIVIE's Services will be resolved through binding individual arbitration rather than a trial before a judge or jury.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.
Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules in effect when the arbitration is initiated, unless applicable law requires otherwise.
Arbitration may be conducted by video, telephone, documents-only procedures, or an in-person hearing as permitted by the applicable AAA rules and law.
The allocation of arbitration filing fees and other arbitration costs will be governed by the applicable AAA rules and applicable law.
An arbitrator may award the same individual remedies that would otherwise be available in court to the extent authorized by applicable law.
31. Small Claims Court
Either you or VIVIE may bring an individual claim in an appropriate small claims court if the claim qualifies under that court's rules.
32. Class Action and Jury Trial Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND VIVIE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR REPRESENTATIVE IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
Unless both parties agree otherwise or applicable law requires otherwise, an arbitrator may not consolidate the claims of multiple individuals.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND VIVIE EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR CLAIMS SUBJECT TO THIS DISPUTE-RESOLUTION PROVISION.
33. Arbitration Opt-Out
You may opt out of the arbitration provisions contained in these Terms by providing written notice within 30 days after the date you first accept these Terms.
Your opt-out notice must include:
- Your full name;
- Your mailing address;
- The email address associated with your VIVIE account, if applicable; and
- A clear statement that you wish to opt out of the arbitration agreement contained in the VIVIE Terms of Use.

Opting out of arbitration will not otherwise affect your ability to use the Services.
34. Governing Law
To the extent permitted by applicable law, these Terms and disputes arising from them will be governed by the laws of the State of Wyoming, without regard to its conflict-of-law principles, except where federal law applies.
This choice of law does not deprive consumers of any non-waivable protections available under applicable law in their state of residence.
For disputes that are not subject to arbitration and are not eligible for small claims court, jurisdiction and venue will lie in an appropriate state or federal court with jurisdiction over the dispute, subject to applicable consumer-protection law.
35. Copyright and Intellectual-Property Complaints
If you believe content available through the Platform infringes your copyright or other intellectual-property rights, please send a written notice containing sufficient information for us to identify and evaluate the alleged infringement to:

36. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.
37. No Waiver
Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.
38. Assignment
You may not assign or transfer your rights or obligations under these Terms without VIVIE's prior written consent.
VIVIE may assign these Terms in connection with a merger, acquisition, restructuring, corporate reorganization, sale of assets, or similar transaction, subject to applicable law.
39. Entire Agreement
These Terms, together with the VIVIE Privacy Policy and any additional agreements, consents, or terms that specifically apply to a Service you use, constitute the agreement between you and VIVIE concerning your use of the Platform.
A separate Telehealth Informed Consent, Healthcare Provider Notice of Privacy Practices, pharmacy terms, subscription terms, or other legally required documents may also apply to particular Services.
